Represented a major hotel-casino in the successful bid of the right to develop and construct a riverboat casino project in St. Louis, Missouri. In connection therewith, negotiated partnership agreement, development agreements, ground lease and financing arrangements for the project.
Acted as the leader of the due diligence team in connection with the merger of two major hotel-casinos.
Advised client on organizational and business structure for a start-up company and draft contracts, including stockholder agreement and loan agreements.
Represented Clark County School District in its effort to implement a school renewable energy pilot program; obtained an opinion from the Nevada Public Utilities Commission that CCSD and others may contract directly with third-party renewable energy system providers and that such providers will not be considered “public utilities” under Nevada law. This decision has been credited with making renewable energy systems much more widely available in Nevada.
Obtained the approval of the Nevada Public Utilities Commission for an electric line extension and service contract for a major hotel-casino’s multi-billion dollar development project including an opinion consistent with the client’s proposal concerning the appropriate cost sharing for such facilities, saving the client $27.6 million and $54 million in upfront costs.
Secured a favorable opinion from the Nevada Public Utilities Commission that the central energy facilities of a new multi-billion dollar major hotel-casino development are not subject to regulation by the Commission.
After twelve years of litigation against individual client represented by other counsel, in six months obtained dismissal of the action against client regarding various real property easement issues concerning property in Laughlin, Nevada.
Obtained a complete defense verdict for small homebuilder client after one week trial in a case involving claims of fraud, breach of contract and breach of fiduciary duty between partners in a real estate subdivision project. Also secured an award of attorneys’ fees and costs on counterclaim for abuse of process totaling nearly $500,000.00. The Nevada Supreme Court upheld the award after two separate challenges.
